California Attorney General Cancels Paramount Settlement Talks Over $111 Billion Warner Bros. Discovery Deal, Says He’ll Meet When They ‘Stop Playing Games’

California Attorney General Rob Bonta has abruptly shut down settlement negotiations with Paramount, effectively freezing hopes for a quick resolution to the legal battle over David Ellison’s massive 111 billion dollar bid for Warner Bros. Discovery. In a move that signals deepening tensions, Bonta canceled a scheduled Monday meeting just hours before it was set to begin. The decision comes after the Attorney General accused Paramount officials of acting in bad faith by leaking and misrepresenting the details of a previous discussion held last Friday.

Bonta, who leads a coalition of twelve states fighting to block the merger, expressed his frustration in a blunt statement telling The New York Times that he is unwilling to negotiate while the company continues playing games. He emphasized that his office remains open to dialogue only once Paramount decides to engage sincerely. This sudden breakdown in communication creates a significant hurdle for the deal, as Bonta has consistently maintained that any potential agreement must include structural remedies, such as forced asset sales, which are often viewed as poison pills by acquiring companies.

The timing of this collapse is particularly precarious for Paramount given the mounting financial pressure surrounding the transaction. If the deal does not close by October 1st, the company will begin incurring a ticking fee of approximately 7 million dollars per day owed to its shareholders. With an antitrust trial already looming in March, the window for a negotiated peace is closing rapidly, leaving both parties staring down an expensive and uncertain legal showdown in court.
